摘要

隨著信息技術(shù)特別是網(wǎng)絡(luò)技術(shù)的不斷發(fā)展，國(guó)際互聯(lián)網(wǎng)的全球化熱潮使人類社會(huì)進(jìn)入了一個(gè)新的信息時(shí)代。由于國(guó)際互聯(lián)網(wǎng)具有不受時(shí)間、地域限制的特*，一種與傳統(tǒng)交易形態(tài)截然不同的通過(guò)國(guó)際互聯(lián)網(wǎng)進(jìn)行交易的方式應(yīng)運(yùn)而生。在未來(lái)若干年內(nèi)，國(guó)際互聯(lián)網(wǎng)將成為全球最大的交易市場(chǎng)所在地，其蘊(yùn)含的商機(jī)無(wú)可限量。電子商務(wù)的產(chǎn)生與發(fā)展，為國(guó)際貿(mào)易帶來(lái)了極大的沖擊，一些新的問(wèn)題由此產(chǎn)生。如網(wǎng)絡(luò)交易如何征稅、交易的安全*如何保證、交易書面形式要求、簽名的確認(rèn)、合同的擬訂、電子提單的轉(zhuǎn)讓等。這些問(wèn)題的解決直接關(guān)系到網(wǎng)絡(luò)交易的發(fā)展。但是，由于法律本身的滯后*，傳統(tǒng)法律尚未針對(duì)網(wǎng)絡(luò)交易這一新型交易方式進(jìn)行補(bǔ)充或修正，造成許多衍生的法律問(wèn)題無(wú)法用現(xiàn)行法律進(jìn)行規(guī)范與調(diào)整。這使得許多準(zhǔn)備從事網(wǎng)絡(luò)交易的商家望而卻步，影響到這一商業(yè)運(yùn)作方式的迅速發(fā)展。因此積極加強(qiáng)對(duì)網(wǎng)絡(luò)交易的研究，建立規(guī)范網(wǎng)絡(luò)交易的靈活法律框架，不僅可保障進(jìn)行網(wǎng)絡(luò)交易各方面的利益，而且還可保障網(wǎng)絡(luò)交易的順利進(jìn)行。本文擬就有關(guān)問(wèn)題進(jìn)行探討。

Abstract
Along with the information technique especia**y the network technique develops continuously, the upsurge of the international Internet makes the human society entering a new information age. Because Internet has characteristic not limited by time and region, one kind of trade completely different from traditional trade shape arises at the historic moment by way of trading in Internet. Over the next several years, Internet wi** become the largest trade market site in the world; its business o**ortunity contained knows no measure. Production and development of Electronic Co**erce, have brought the great impact to international trade, some new problems are caused by this production. Such as how the network concludes the business levies taxes, how to guarantee the security of the trade, trade written form require, affirmation, work out, transfer of the electronic bi** of lading, etc. The solution to these problems concerns the development of the trade of the network directly. However, because of the la**ing of the law itself, the traditional law has not been carried on su**lementa**y and revising to this new-type trade way of the trade of the network yet, which causes a lot of legal questions derived unable to carry on standardizing and adjust with the current law. This makes a lot of plan to hang back in the trade company engaged in trade of the network, influence the rapid development of this co**ercial operation way. So strengthening the study on trade of the network actively, setting up the flexible legal frame of standardizing trade of the network, not only can ensure carrying on the benefits of various fields of trade of the network but also can ensure the harmony of the trade of the network. This text plans to carry on the discussion on relevant questions.

引言
電子商務(wù)是伴隨著網(wǎng)絡(luò)信息技術(shù)的發(fā)展和計(jì)算機(jī)應(yīng)用的普及而產(chǎn)生的一種新型的商務(wù)交易形式。這種新型的國(guó)際貿(mào)易方式以其特有的優(yōu)勢(shì)（成本低、易于參與、對(duì)需求反映迅速等），已被愈來(lái)愈多的國(guó)家及不同行業(yè)所接受和使用。這種新興貿(mào)易方式對(duì)傳統(tǒng)法律（無(wú)論是英美法系，還是大陸法系）關(guān)于合同的成立條件、合同有效*規(guī)范、支付方法、提單的轉(zhuǎn)讓等一系列法律法規(guī)和要求，提出了嚴(yán)肅的挑戰(zhàn)?，F(xiàn)行的法律法規(guī)已無(wú)法滿足電子商務(wù)發(fā)展的需求，阻礙了電子商務(wù)的正常發(fā)展。因此，有必要為電子商務(wù)建立起一套必要的法律法規(guī)和共同遵守的商業(yè)規(guī)則，為電子商務(wù)的動(dòng)作提供法律依據(jù)，以促進(jìn)國(guó)際貿(mào)易更好的發(fā)展。

電子商務(wù)（Electronic Co**erce）是通過(guò)電信網(wǎng)絡(luò)進(jìn)行的生產(chǎn)、營(yíng)銷、銷售和流通等活動(dòng)，它不僅指基于因特網(wǎng)上的交易，而且指所有利用電子信息技術(shù)來(lái)解決問(wèn)題、降低成本、增加價(jià)值和創(chuàng)造商機(jī)的商務(wù)活動(dòng)，包括通過(guò)網(wǎng)絡(luò)實(shí)現(xiàn)從原材料查詢、采購(gòu)、產(chǎn)品展示、訂購(gòu)到出口、儲(chǔ)運(yùn)以及電子支付等一系列的貿(mào)易..
